We advised Minela Foundation (Karto Oy) in the sale of its shareholdings

In connection with certain other transactions, we advised Minela Säätiö sr’s then current subsidiary Karto Oy in the sale of its shareholdings in its Estonian subsidiaries.

Karto Oy, acquired by Lehtipiste Oy from Minela Foundation in 2021, was until 2023 (when it merged with Paletti to become Suomen Korttipiste Oy, which is part of the Lehtipiste Group) a separate entity active in the field of designing and manufacturing greeting cards. Karto Oy offered a wide range of other products including gift wraps, bags, accessories, and stickers. 

We advised Karto Oy in the share sale, including drafting the share purchase agreements and related documentation in the share sale of their shareholdings in their Estonian entities. The assistance also included advising on pre-emption rights and the subsequent sale of shares to the user of the pre-emption rights.
